Legal Agreement

These Terms of Service (“Terms”) form a legally binding agreement between you (“User”) and Som Ventures, LLC (f/k/a MVSquared Ventures, LLC) d/b/a Som Lead Studio (“Som Lead Studio,” “Company,” “we,” “our,” or “us”). By accessing or using our website(s), funnel(s), programs, content, and services (collectively, the “Site” and “Services”), you agree to be bound by these Terms, our Privacy Policy, and any additional terms applicable to specific sections, products, or services.

Services Overview

Som Lead Studio provides marketing consulting services, lead-generation systems, and training resources for real estate professionals. 

Eligibility & Use

Users must be at least 18 years old and are responsible for compliance with applicable laws. Account sharing and disruptive activity are prohibited.

Our Limited License to You

The Site and all materials on it are owned by us and/or our affiliates or licensors and are protected by intellectual property laws. The Site is for your personal, noncommercial use. Except as expressly authorized, you may not modify, copy, reproduce, republish, upload, post, transmit, translate, sell, create derivative works from, exploit, or distribute any material from the Site. You may download/print one copy of individual pages for personal, noncommercial use if you keep all proprietary notices intact.

Your License to Us

By posting, submitting, emailing, texting, or otherwise providing any material (e.g., comments, posts, photos, videos, testimonials) to us via the Site, social media, or directly to our staff, you represent you are the owner or have consent from the owner. You grant us a royalty-free, perpetual, irrevocable, non-exclusive, worldwide license to use, copy, modify, transmit, sell, exploit, create derivative works from, distribute, publicly perform, and display such material, in whole or in part, in any medium now known or later developed, and to identify you as the author by name, email, or screen name as appropriate.
You acknowledge that any contributions created by you for us that qualify as “works made for hire” under U.S. Copyright Law shall be owned exclusively by Som Lead Studio. If any such contributions do not qualify as works made for hire, you irrevocably assign to Som Lead Studio all proprietary rights (including copyrights and trademarks) in all media, worldwide, in perpetuity. Reproductions of your prior works that you post may be co-owned by us. We may use, display, cease use, or remove any such materials at our discretion.

Limitations on Linking and Framing

You may link to the Site so long as the link does not state or imply our sponsorship of your site. Framing, inline linking, or incorporating our content into another service without prior written permission is prohibited.

Prohibited Uses

You may not send spam; upload harmful code; infringe intellectual property or privacy/publicity rights; misrepresent affiliations; interfere with Site operations; gain unauthorized access; collect personal data for marketing; or post/transmit unlawful, defamatory, obscene, or commercial solicitations without our express written approval.

User Content & Data

You retain ownership of your content. You grant the license described in “YOUR LICENSE TO US” to operate and improve the Services. Data is processed under our Privacy Policy. We do not sell your information.

Intellectual Property

All templates, content, and systems are owned by Som Ventures, LLC (f/k/a MVSquared Ventures, LLC). Unauthorized reproduction or resale is prohibited.

Online Commerce

We may provide access to third-party products or services. We are not responsible for the quality, accuracy, timeliness, reliability, or policies of third-party offerings. Your dealings with third parties (including payment and delivery) are solely between you and the third party. You release us from claims arising from such dealings. You agree to use the Site for legitimate, non-fraudulent purchases only and to have consent when providing a third party’s information.

Payment Terms

Services may be fee-based. Payments are due per the purchase terms. Subscriptions may auto-renew unless canceled pursuant to their terms. If payment for a course is declined, access to premium materials may be disabled until billing is resolved.
For subscriptions, we disclose the renewal terms before purchase, send a post-purchase acknowledgment with terms and cancellation instructions, and provide an easy-to-use online method to cancel at any time. Any free trial will disclose how to cancel to avoid charges.

Refund Policy: Refunds are governed by the Refund Policy below.

Interactive Features

The Site may include forums, blogs, chats, groups, and email services. You are solely responsible for what you post or send. We may monitor, edit, refuse to post, or remove content at our discretion and disclose materials to comply with law or protect ourselves and others. We may remove any member from a community at any time to preserve group value.

Registration

To access certain features, we may request demographic or personally identifiable information. You agree to provide true, accurate, current, and complete information. We may suspend or terminate access for untrue, inaccurate, or incomplete information. Our use of personal data is governed by our Privacy Policy.

Passwords

You are responsible for maintaining the confidentiality of your account credentials and all activities under your account. Notify us immediately of any unauthorized use or security breach and log out at the end of each session.

SMS Messaging Terms & Conditions

By providing your mobile number, you agree to receive SMS messages from Som Lead Studio related to services, updates, reminders, and promotions (“Som Lead Studio Alerts”).
• Opt-Out: Reply STOP to any message to unsubscribe; you’ll receive a confirmation and then no further messages.
• Rejoin: Text START or re-subscribe via our website or by contacting us.
• Help: Reply HELP or email info@somleadstudio.com.
• Carrier Liability: Carriers are not liable for delayed or undelivered messages.
• Rates: Message/data rates may apply.
• Frequency: You may receive an SMS upon booking, 2 days before your appointment, and 1 day before your appointment.
• Compliance: Our SMS program complies with applicable CTIA/TCPA standards and U.S. laws.
• Privacy: See our Privacy Policy for data handling.

• Opt-in Consent: You agree to receive recurring automated marketing and service SMS messages by providing your number and affirmatively opting in (e.g., checking an unchecked box and clicking “Submit”). Consent is not a condition of purchase. Message frequency varies. Links to these Terms and our Privacy Policy are provided at the point of opt-in.

Disclaimers

We may link to third-party sites; such links do not constitute endorsement. We do not control third-party information, products, or services. Opinions or statements by third parties are theirs alone.
The site, services, information, products, and any third-party sites are provided “as is,” without warranties of any kind, express or implied, including implied warranties of merchantability and fitness for a particular purpose. We do not warrant uninterrupted or error-free operation, that defects will be corrected, or that the site or servers are free of harmful components. We do not warrant results or accuracy, timeliness, or reliability of the site or materials.

You agree at all times to defend, indemnify and hold harmless Som Lead Studio its affiliates, their successors, transferees, assignees and licensees and their respective parent and subsidiary companies, agents, associates, officers, directors, shareholders and employees of each from and against any and all claims, causes of action, damages, liabilities, costs and expenses, including legal fees and expenses, arising out of or related to your breach of any obligation, warranty, representation or covenant set forth herein.

No Endorsements

Our Services are independent and not affiliated with, endorsed by, or sponsored by any real estate brokerage.

Brokerage Compliance

Users are responsible for compliance with real estate brokerage rules and regulations applicable to their activities.

Privacy

Use of the Services constitutes consent to our Privacy Policy. 

Electronic Communications

We include an unsubscribe link in every commercial email and honor all opt-out requests within 10 business days. 

You consent to receive agreements, notices, and disclosures electronically (email or SMS) and agree that such communications satisfy any legal requirement that they be in writing.

Limitation of liability

To the maximum extent permitted by law, neither we nor our parent, subsidiaries, affiliates, successors, assigns, or their officers, directors, employees, or agents shall be liable for any direct, indirect, incidental, special, consequential, or exemplary damages arising from or related to your use or inability to use the site, messaging, blogs, user content, emails, products, or services, or third-party materials accessed through the site, even if advised of the possibility of such damages. Some jurisdictions do not allow exclusions/limitations; where prohibited, our liability is limited to the fullest extent permitted. You acknowledge we are not liable for defamatory, offensive, or illegal conduct of any user.
We are not an investment advisory service or financial adviser and do not provide personalized financial, tax, accounting, or legal advice. No information is an offer, solicitation, endorsement, or recommendation of any company, security, or fund. You are responsible for consulting professionals before acting on information. The site is under continual development, and we make no warranty as to accuracy or completeness. You acknowledge no representations have been made regarding future income, expenses, sales volume, or profitability from participation in any program.

Dispute Resolution

Disputes shall be resolved by negotiation or binding arbitration in New York, USA. Arbitration shall be administered under applicable rules (including AAA rules where applicable). You waive the right to participate in class or representative actions.

Termination

We may cancel, suspend, or terminate your access to the Site or Services at any time for violations or as otherwise permitted. Upon termination, you are no longer authorized to access the affected portions. Restrictions on use, licenses granted to us, disclaimers, limitations of liability, and dispute/arbitration provisions survive termination.

Refund Policy

Your purchase of a product, service, event ticket, or course may or may not provide for a refund. Unless otherwise stated on the specific product/service/course/event page, all sales are final. If a specific page states a different refund policy, that policy controls for that purchase.

Digital Millennium Copyright Act of 1998 (the “DMCA”)

If you believe in good faith that materials hosted by Som Lead Studio infringe your copyright, you or your agent may send us a notice requesting removal or blocking of access. Counter-notices may be submitted if you believe a notice was wrongly filed. Notices must meet the current statutory requirements of the DMCA (see www.loc.gov/copyright). Assignment; Successors 

This Agreement binds and benefits Som Lead Studio and our assigns, successors, heirs, and legal representatives. You may not assign without our prior written consent. We may freely assign to any affiliate or wholly owned subsidiary.

Governing Law; Severability

These Terms are governed by the laws of the State of New York. If any provision is unlawful, void, or unenforceable, it is deemed severable and does not affect remaining provisions.

California Residents – California Consumer Privacy Act (CCPA) Rights

California residents have rights to access, delete, correct, and opt out of certain processing under CCPA. To exercise rights, contact info@somleadstudio.com.

Changes to These Terms

We may revise these Terms at any time by posting updates here with a revised Effective Date. Continued use after posting constitutes acceptance of the modified Terms.
